Types of Business Incorporation

Choosing the right legal structure is one of the most important decisions a founder makes. We help you evaluate the options below against your goals, ownership plans, and funding needs before recommending the structure that fits.

Private Limited Company

A separate legal entity with limited liability for shareholders. Requires a minimum of 2 directors and 2 shareholders. The most common structure for startups seeking external funding, offering strong credibility with investors and banks.

Limited Liability Partnership (LLP)

Combines the flexibility of a partnership with limited liability protection for partners. Well suited to professional services firms and businesses that don't need external equity investment, with fewer compliance requirements than a company.

One Person Company (OPC)

Lets a single individual enjoy the benefits of a corporate structure, including limited liability, without needing a co-founder. Ideal for solo entrepreneurs who want legal protection while retaining full ownership.

Public Limited Company

Suited to larger businesses planning to raise capital from the public or eventually list on a stock exchange. Requires a minimum of 3 directors and 7 shareholders, along with more extensive regulatory and disclosure requirements.

Partnership Firm

A straightforward structure where two or more people share ownership and responsibility. Faster and less expensive to set up than a company, though partners carry unlimited personal liability for business debts.

Sole Proprietorship

The simplest business structure, owned and run by one individual. Quick and low-cost to establish, but offers no legal separation between personal and business liability.

Section 8 Company

A nonprofit structure for organizations formed around charitable, social, or educational objectives. Profits are reinvested into the organization's purpose rather than distributed to members. See our dedicated Trust, Society & Section 8 Registration service for details.
